1. Acceptance of Terms
Welcome to Hemlock (“Hemlock,” “we,” “us,” or “our”), a software platform owned and operated by Fine D3sign Corp.
These Terms and Conditions (“Terms”) govern your access to and use of the Hemlock website, mobile applications, software, and related products and services (collectively, the “Services”).
By creating an account, accessing, or using Hemlock, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you use Hemlock on behalf of a company or organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree with these Terms, you must discontinue use of the Services.
2. Description of Services
Hemlock provides software tools designed to help individuals and businesses manage their online selling operations.
Depending on availability, subscription level, and supported integrations, Hemlock’s features may include:
- Product listing creation, editing, and management.
- Inventory tracking and organization.
- Cross-listing products across supported marketplaces.
- Marketplace account integrations.
- Inventory, pricing, and listing synchronization.
- Sales activity monitoring and reporting.
- Automated listing and inventory management.
- Product information generation and listing assistance.
- Additional seller management tools and integrations.
Fine D3sign Corp. reserves the right to introduce, modify, suspend, or discontinue features as necessary.
Availability of specific integrations and features may change without guaranteeing continued compatibility with any particular third-party service.
3. Eligibility and Account Registration
To use Hemlock, you must be at least 18 years old or the age of legal majority in your jurisdiction.
You agree to provide accurate, current, and complete registration information.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
You agree to notify Hemlock promptly at info@hemlockapp.com if you suspect unauthorized account access or a security breach.
Fine D3sign Corp. may suspend or restrict accounts reasonably suspected of fraudulent, unlawful, or unauthorized activity.
4. Third-Party Marketplace Integrations
Hemlock may integrate with third-party marketplaces, e-commerce platforms, and related services.
By connecting a third-party account, you authorize Hemlock to access, retrieve, process, transmit, and modify information within the permissions you grant.
This information may include:
- Product listings and descriptions.
- Product images and categories.
- Inventory quantities.
- Pricing information.
- Sales and order information.
- Marketplace account identifiers.
- Other information necessary to provide authorized functionality.
Third-party platforms operate independently of Fine D3sign Corp.
Hemlock does not control third-party marketplace rules, listing approvals, account suspensions, technical outages, or changes to their services.
You remain responsible for complying with the terms and policies of each connected marketplace.
Hemlock may suspend or discontinue an integration if required by technical, contractual, legal, or security considerations.
5. Cross-Listing and Inventory Synchronization
Hemlock may allow users to publish, modify, synchronize, or remove product listings across multiple marketplaces.
While we strive to maintain accurate synchronization, we do not guarantee that updates will occur instantaneously or without errors.
Synchronization may be affected by:
- Third-party API availability.
- Internet connectivity.
- Marketplace restrictions.
- Processing delays.
- Technical failures.
- Changes to external systems.
Users remain responsible for reviewing listing accuracy, product availability, pricing, and order fulfillment.
Fine D3sign Corp. is not responsible for duplicate sales, overselling, missed orders, or listing inconsistencies caused by synchronization issues, except where liability cannot legally be excluded.
6. Seller Responsibilities
Hemlock is a software provider and does not act as the seller, purchaser, or merchant of record for products sold through third-party marketplaces.
You are responsible for ensuring that products listed through Hemlock:
- Are legally owned or authorized for sale.
- Are accurately described.
- Comply with applicable laws and marketplace policies.
- Do not infringe intellectual property rights.
- Are not counterfeit, stolen, or prohibited.
- Meet applicable shipping, return, tax, and consumer protection requirements.
Hemlock does not independently authenticate products or guarantee the authenticity, condition, legality, or value of listed merchandise.
7. Subscriptions, Payments, and Billing
Certain features may require a paid subscription or additional fees.
Applicable pricing, billing frequency, and included services will be disclosed at the time of purchase.
For recurring subscriptions, you authorize the applicable payment processor to charge your selected payment method at the disclosed rate until cancellation.
Unless otherwise stated at checkout:
- Subscriptions automatically renew at the end of each billing period.
- Users may cancel future renewals through the available billing or account controls.
- Cancellation takes effect at the end of the current paid billing period.
- Previously paid fees are nonrefundable except where required by applicable law or expressly stated in the applicable refund terms.
- Applicable taxes may be charged.
Any free trial, promotional pricing, or introductory offer will be subject to the conditions disclosed when offered.
Fine D3sign Corp. may modify subscription prices with advance notice as required by applicable law.
If subscriptions are purchased through Apple or another third-party billing provider, that provider’s applicable billing and cancellation terms may also apply.

8. User Content and Ownership
You retain ownership of photographs, descriptions, product information, and other materials you lawfully upload to Hemlock (“User Content”).
By uploading User Content, you grant Fine D3sign Corp. a nonexclusive, worldwide, royalty-free license to store, process, reproduce, format, transmit, and display that content as reasonably necessary to provide Hemlock’s Services and perform actions you authorize.
You represent that you have the legal rights and permissions necessary to upload and distribute your content.
Fine D3sign Corp. retains ownership of Hemlock’s software, design, branding, proprietary technology, documentation, and related intellectual property.
You may not reproduce, reverse engineer, resell, distribute, or commercially exploit Hemlock’s proprietary software except as permitted by law or with written authorization.
9. Automated and AI-Assisted Features
Hemlock may provide automated or AI-assisted features to help generate product descriptions, categories, pricing suggestions, or other listing information.
Such outputs may contain errors or inaccuracies.
Users are responsible for reviewing and verifying automatically generated information before publishing listings or making business decisions.
Hemlock does not guarantee the accuracy, completeness, or suitability of automated outputs.
10. Prohibited Uses
You agree not to use Hemlock to:
- Conduct fraudulent or unlawful activities.
- Sell counterfeit, stolen, or prohibited products.
- Infringe intellectual property rights.
- Misrepresent product information.
- Circumvent marketplace policies or restrictions.
- Gain unauthorized access to accounts or systems.
- Introduce malware or malicious software.
- Interfere with Hemlock’s infrastructure or security.
- Redistribute Hemlock’s proprietary software without authorization.
Fine D3sign Corp. reserves the right to investigate suspected violations and suspend or terminate access where reasonably appropriate.
11. Service Availability
Hemlock is provided subject to technical limitations, maintenance requirements, and third-party dependencies.
We do not guarantee uninterrupted, error-free, or continuously available Services.
Fine D3sign Corp. may perform maintenance, release updates, modify integrations, or temporarily restrict functionality when reasonably necessary.
Where practicable, we will provide notice of material service changes affecting paid users.
12. Account Suspension and Termination
Users may discontinue use of Hemlock at any time.
Account deletion requests may be submitted to info@hemlockapp.com or through available account deletion controls.
Fine D3sign Corp. may suspend or terminate accounts for material violations of these Terms, fraudulent conduct, security threats, or other lawful reasons.
Following termination, access to account information, integrations, and paid features may cease.
Certain information may be retained as required or permitted by applicable law, including records needed for accounting, security, dispute resolution, and legal compliance.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEMLOCK AND FINE D3SIGN CORP. PROVIDE THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS.
WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OTHER WARRANTIES TO THE EXTENT LEGALLY PERMITTED.
WE DO NOT GUARANTEE SALES, REVENUE, LISTING VISIBILITY, MARKETPLACE APPROVAL, OR ERROR-FREE INVENTORY SYNCHRONIZATION.
Nothing in these Terms limits rights or warranties that cannot lawfully be excluded.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Fine D3sign Corp. and its officers, employees, contractors, and service providers shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of Hemlock.
This includes, where legally permissible, lost profits, lost sales, business interruptions, listing errors, or loss of data.
To the maximum extent permitted by law, Fine D3sign Corp.’s aggregate liability arising from the Services shall not exceed the total amount paid by the user to Hemlock during the 12 months immediately preceding the event giving rise to the claim.
These limitations do not apply to liability that cannot legally be excluded or restricted.
15. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Fine D3sign Corp., its officers, employees, and representatives from third-party claims, losses, damages, and reasonable expenses arising from your unlawful activities, infringement of third-party rights, or material breach of these Terms.
16. Governing Law
These Terms shall be governed by the laws of the state in which Fine D3sign Corp. is legally organized, without regard to conflict-of-law principles.
Disputes shall be resolved in courts of competent jurisdiction, subject to applicable legal requirements.
17. Changes to Terms
Fine D3sign Corp. may update these Terms periodically.
Updated Terms will be posted at https://hemlockapp.com with a revised effective date.
Material changes will be communicated where required by law.
Continued use of the Services after revised Terms become effective constitutes acceptance where legally permissible.
